Terms of Use
Last updated: October 8, 2026
Under legal review — this is the current base text until the lawyer-reviewed version is published. This is a translation; in case of conflict, the Portuguese version prevails.
These Terms of Use govern access to and use of the MaxSDR platform (the "Service"), offered by MaxSDR, a technology company headquartered in Balneário Gaivota, SC, Brazil ("MaxSDR", "we").
By creating an account, connecting a WhatsApp number, or using any feature of the Service, you (the "Customer") confirm that you have read and agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.
1. The Service
MaxSDR is an AI-assisted customer service and sales platform that runs on the Customer's WhatsApp and a web dashboard. The Service answers contacts, qualifies opportunities, books appointments, and organizes the Customer's commercial relationship with their own customers ("Contacts").
Features, limits, and integrations may vary by plan and evolve over time. We will give reasonable notice of changes that materially reduce what was contracted.
2. Eligibility and account
- The Service is intended for businesses and professionals, for use in an economic activity (B2B).
- You represent that you have legal capacity to contract and that the information provided at sign-up is true and will be kept up to date.
- Access is granted through a link or code sent to the registered WhatsApp number. You are responsible for keeping control of your number, your devices, and the users you give dashboard access to.
- Actions taken from your account are your responsibility, except for a proven security failure attributable to MaxSDR.
3. WhatsApp use and compliance
The Customer is responsible for the use of their number with WhatsApp/Meta, for complying with those platforms' policies, and for having a legal basis to message their Contacts, including consent where required.
The Service applies protection mechanisms — such as sending limits, automatic pauses on risk signals, and opt-out on the Contact's request — but does not guarantee immunity from restrictions, blocks, or bans imposed by WhatsApp/Meta, which are solely those companies' decisions.
4. Prohibited use
You may not use the Service to:
- send spam, unsolicited mass messages, or messages to people who asked not to be contacted;
- offer illegal products or services, or misleading, discriminatory, offensive, or abusive content;
- commit fraud or scams, collect data improperly, or violate third-party rights;
- attempt to bypass the Service's safety limits, access systems without authorization, or reverse-engineer the platform.
The product's operating principles — the 6 Laws — prevail over Customer settings in case of conflict.
5. Plans, payment, and cancellation
- Plans, prices, and limits are those shown on the product site (app.maxsdr.com) at the time of purchase.
- Payments are processed by partners (Stripe and Asaas). MaxSDR does not store your full card details.
- The free trial, when offered, does not require a card.
- Subscriptions renew automatically each cycle. You may cancel at any time; cancellation takes effect at the end of the cycle already paid.
- We offer a full refund when requested within 30 days of the first charge.
- In case of non-payment, the Service may be suspended after notice. Exporting your data remains available during suspension.
6. Artificial intelligence and responsibility for content
Messages generated by the Service are produced by AI models configured with information provided by the Customer (products, prices, terms, tone of voice). AI models can make mistakes.
The Customer must keep that information accurate and up to date, follow conversations through the dashboard, and remains responsible for the offers, prices, and commitments made to their Contacts. The Service does not provide legal, medical, financial, or any other professional advice.
7. Data and privacy
Your business data and your conversations with Contacts belong to you. Regarding Contacts' data, the Customer is the controller and MaxSDR acts as processor, handling it only to provide the Service and according to the Customer's instructions.
The processing of personal data is described in the Privacy Policy, which forms part of these Terms.
8. Intellectual property
The Service, the MaxSDR brand, software, interface, and documentation belong to MaxSDR. The subscription grants the Customer a personal, non-exclusive, non-transferable license to use the Service while the subscription is active.
9. Availability
We work to keep the Service continuously available, but interruptions may occur for maintenance, due to third-party failures (including WhatsApp/Meta, cloud and payment providers), or due to events beyond our control.
10. Limitation of liability
The Service is provided "as is". To the fullest extent permitted by law, MaxSDR is not liable for lost profits, lost opportunities, indirect damages, or data loss caused by third parties, including WhatsApp unavailability or restrictions.
MaxSDR's total liability, for any cause, is limited to the amount paid by the Customer in the 12 months preceding the event giving rise to the claim.
11. Suspension and termination
You may close your account at any time, including requesting deletion of your data, as described in the Privacy Policy. We may suspend or terminate accounts that violate these Terms or put the Service or third parties at risk, with prior notice whenever possible.
12. Changes
We may update these Terms. Material changes will be communicated through the dashboard, WhatsApp, or email before they take effect. Continued use of the Service after that indicates agreement with the new version.
13. Governing law and jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Customer's domicile have jurisdiction, unless the law provides otherwise.
14. Contact
